Terms & Conditions

By accessing our website (skybin.co) or engaging Skybin Technology Private Ltd. ("Skybin", "we", "our", or "us") for any service, you agree to be bound by these Terms & Conditions. If you do not agree, please do not use our website or services. These terms are governed by and construed in accordance with the laws of India.

Skybin Technology Private Ltd. is a private limited company incorporated under the Companies Act 2013, with its registered office at Incuspaze, The Corenthum A-41, Sector 62, Noida, Uttar Pradesh 201301, India. We provide software development, mobile app development, SaaS product development, cloud & DevOps, digital marketing, and UI/UX design services.

All services provided by Skybin are subject to a separate written agreement, statement of work (SOW), or proposal mutually agreed upon by both parties. These Terms & Conditions apply in addition to any such agreement. We reserve the right to decline any project request at our sole discretion. Acceptance of a project is confirmed only upon written acknowledgement from Skybin.

Upon full payment of all outstanding invoices, the client shall own all intellectual property rights to the final deliverables specifically created for the client under the agreed scope of work, unless stated otherwise in the project agreement. Skybin retains ownership of: • All pre-existing code, frameworks, libraries, and tools used in developing the deliverables • Generic components, utilities, and methodologies not specifically created for the client • Any work not covered under the agreed scope Skybin reserves the right to showcase the completed work in its portfolio, case studies, and marketing materials, unless the client explicitly requests confidentiality in writing.

Payment terms are specified in individual project proposals or contracts. Unless otherwise agreed: • Projects require an advance payment before work commences • Milestone-based payments are due upon completion and approval of each milestone • Final deliverables are released only after full payment is received • Invoices unpaid beyond the due date may attract a late fee as specified in the contract All prices are in Indian Rupees (INR) unless otherwise stated. International clients may be invoiced in USD or other agreed currencies.

The client agrees to: • Provide timely feedback, approvals, and required content within agreed timelines • Ensure all materials provided to Skybin (text, images, data) are owned by the client or appropriately licensed • Not hold Skybin liable for delays caused by the client's failure to provide required inputs • Maintain confidentiality of any proprietary methodologies, pricing, or processes shared by Skybin

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. This obligation survives termination of the agreement. Skybin will not disclose client data or project details to third parties without written consent, except where required by law or to subcontractors bound by equivalent confidentiality obligations.

To the maximum extent permitted by applicable law, Skybin's total liability arising out of or related to any project or engagement shall not exceed the total fees paid by the client for that specific project in the 3 months preceding the claim. Skybin shall not be liable for: • Indirect, incidental, or consequential damages • Loss of profits, data, or business opportunities • Damages arising from third-party services, APIs, or platforms used in the project • Delays caused by circumstances beyond our reasonable control (force majeure)

Skybin warrants that deliverables will conform to the agreed specifications at the time of delivery. Any defects reported within 30 days of delivery will be rectified at no additional charge. This warranty does not cover: • Changes to scope requested after delivery • Issues arising from client modifications to the delivered code • Third-party service disruptions or API changes • Compatibility issues with software or platforms not specified in the original scope Post-warranty support and maintenance services are available under a separate agreement.

Either party may terminate a project engagement with 14 days' written notice. Upon termination: • The client shall pay for all work completed up to the termination date • Skybin shall deliver all completed work and project assets to the client upon receipt of final payment • Any advance payments for unstarted milestones will be refunded on a pro-rata basis Skybin reserves the right to terminate immediately if the client engages in unlawful activity, breaches confidentiality, or fails to make payment for more than 30 days past the due date.

You agree to use this website only for lawful purposes. You must not: • Attempt to gain unauthorised access to any part of our systems • Use automated tools to scrape or harvest data from this website • Transmit any harmful, offensive, or malicious content through our contact forms • Misrepresent your identity or affiliation when contacting us We reserve the right to block access to users who violate these terms.

These Terms & Conditions are governed by the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts in Noida / Gautam Buddh Nagar, Uttar Pradesh, India. We encourage resolving disputes amicably. In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation before initiating legal proceedings.

We reserve the right to modify these Terms & Conditions at any time. Changes will be posted on this page with an updated revision date. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
